                         TRANSACTION IN OWN SECURITIES



Vodafone Group Plc ('Vodafone') announces today that it has transferred to
participants in its employee share schemes the following number of its ordinary
shares of U.S.$0.10 each, which were previously held as treasury shares.

Number of ordinary shares transferred:                        7,650
Highest transfer price per share:                             118 pence
Lowest transfer price per share:                              114 pence





Following the above transfer, Vodafone holds 6,112,446,118 of its ordinary
shares in treasury and has 60,147,710,504 ordinary shares in issue (excluding
treasury shares).
