The following document dated 21 December 2005 constitutes the final terms (the ' Final Terms') of the Notes for the purposes of Article 5.4 of Directive 2003/71/ EC and must be read in conjunction with the Prospectus dated 19 July 2005 relating to the Programme, as supplemented by the Supplementary Prospectus dated 21 November 2005 (together, the 'Prospectus').
