Notification of Major Interests in Shares

Vodafone Group Plc ('the Company')

In accordance with Section 329 of the Companies Act 1985, I have to inform you
that the Company has received notification that, as at 10 December 2002,
Barclays PLC, through its subsidiaries and affiliates, had a notifiable interest
in 2,048,877,637 ordinary shares of US$0.10 each in the capital of the Company.
This represents 3.01 per cent of the issued ordinary share capital of the
Company.
