Vodafone Group Plc ('the Company')

In accordance with Part VI of the Companies Act 1985, I have to inform you that
the Company has received notification today that, as at 28 January 2003,
Barclays PLC, through its subsidiaries and affiliates, had ceased to have a
notifiable interest in the capital of the Company.
