Notification of Major interests in Shares

Vodafone Group Plc ('the Company')

In accordance with Section 198 of the Companies Act 1985, I have to inform you
that the Company was notified on 17 November 2005 by Fidelity Investments
International that on 16 November 2005 FMR Corp. and its direct and indirect
subsidiaries, and Fidelity International Limited and its direct and indirect
subsidiaries, both being non-beneficial holders, held, solely for investment
purposes, a total of 1,801,487,897 ordinary shares of US$0.10 each in the
capital of the Company, in the following form:-

1,309,245,427 ordinary shares

492,242,470 ordinary shares from ADR conversion

These holdings represent approximately 2.88% of the issued ordinary share
capital of the Company.
