Vodafone Group Plc ('the Company')

In accordance with Part VI of the Companies Act 1985, I have to inform you that
the Company was notified on 21 July 2003 that, as at 17 July 2003, Legal &
General Group Plc Companies had a notifiable interest in 2,220,444,438 ordinary
shares of US$0.10 each in the capital of the Company. This represents 3.25 per
cent of the issued ordinary share capital of the Company.
