Vodafone AirTouch PLC 6 June 2000 VODAFONE ANNOUNCES NEW MANAGEMENT STRUCTURE FOR EUROPEAN OPERATIONS Vodafone AirTouch announces changes to the structure of its European management teams. Julian Horn-Smith has been appointed Chairman of the Mannesmann AG Executive Board and Tom Geitner has been appointed Deputy Chairman. Both appointments are with immediate effect and follow the resignation of Klaus Esser as Chairman of the Executive Board of Mannesmann AG and his appointment as a Deputy Chairman of Vodafone AirTouch Plc. Julian Horn-Smith, Chief Executive of the European Region, and Tom Geitner, also a Main Board director of Vodafone AirTouch Plc, will have responsibility for all existing Vodafone and Mannesmann Telecommunications businesses in Continental Europe and these will be managed through a new European Board for the Region. The European Region will comprise the Vodafone AirTouch telecommunications interests in Germany, Italy, France, Netherlands, Spain, Greece, Sweden, Belgium, Portugal, Hungary, Malta, Romania, Austria and Poland. The European Region will also include the Telecommerce business of Mannesmann and Vizzavi, the internet Joint Venture with Vivendi. The European Board will be chaired by Julian Horn-Smith who will have ultimate responsibility for financial performance and strategy. He will be supported by a central co-ordination team comprising Finance, Human Resources and Public Policy. Tom Geitner will be Deputy Chairman of the European Board with responsibility for European operations and the development of pan European products and services. A particular objective for Mr Geitner will be the increased integration of the Vodafone AirTouch European businesses to achieve competitive and cost advantages from the Group's scale and scope. Mr Geitner will have responsibility for existing staff in Vodafone and Mannesmann engaged in this work. Mannesmann Eurokom, the Telecommunications Strategy Group of Mannesmann AG, Mannesmann Telecommerce, and Ipulsys will report to Mr Geitner as Deputy Chairman of the Mannesmann Executive Board. The European Region will have a central staff based at each of the dual Headquarters in Dusseldorf and Newbury. Board meetings will be at both locations. The Chief Executives of D2, ARCOR, OMNITEL and Infostrada will be members of the European Board as will Chief Executives of the other major subsidiary companies within the European Region. Peter Bamford, Chief Executive of Vodafone UK, will now have responsibility for an expanded UK, Middle East and Africa Region. This will include Vodafone's interests in the UK, Egypt, South Africa, Uganda and Kenya. For a period Directors from Vodafone AirTouch International Ltd will remain members of the Boards of these companies to provide a smooth transition of governance responsibilities.
