Disposal of Interest

VODAFONE AIRTOUCH PLC 4 October 1999 VODAFONE AIRTOUCH AGREES E-PLUS SALE Vodafone AirTouch Plc ('Vodafone') announces that today an agreement has been reached with France Telecom S.A. providing for the direct or indirect sale of Vodafone's 17.24 per cent equity interest in E-Plus Mobilfunk GmbH, the German cellular network operator, for a cash consideration net of debt of DM3.42bn (approximately GBP1.14bn). The sale will be conditional upon various regulatory and other consents and will be carried out in accordance with the existing agreements amongst the shareholders of E-Plus Mobilfunk GmbH. Vodafone announced in May 1999 that it would be divesting this interest pursuant to the undertaking it gave at that time to the European Commission in connection with its merger with AirTouch Communications, Inc. The divested equity interest is counted for in the consolidated accounts of Vodafone as an investment; as at 31 March 1999 it had a book value of GBP 44.5 million and in the year ended 31 March 1999 no dividend income was received. The consideration is expected to be used for the general corporate purposes of Vodafone AirTouch Plc.
