Directors' Notification of Dealing in Shares

Vodafone Group Plc (the 'Company')

In accordance with Section 329 of the Companies Act 1985, I have to inform you
that today Mr K J Hydon, an executive director of the Company, was granted an
option over 1,493 ordinary shares of US$0.10 each in the Company pursuant to
the Vodafone Group 1998 Sharesave Scheme at a price per share of 226p. The
option is exercisable 5 years from the date of grant provided that the
required monthly savings are maintained until then.

In addition, Mr Hydon has today purchased 100,000 ordinary shares of US$0.10
each in the Company at the price of 281.75p per share thereby increasing his
interest, excluding unexercised share options, to 1,195,079 ordinary shares of
US$0.10 each in the Company.
