Vodafone AirTouch Plc (the 'Company') 

In accordance with Section 329 of the Companies Act 1985, I have to inform you
that on 6 September 1999 Mr Julian Michael Horn-Smith, a director of this
Company, exercised an option to acquire 4,857 ordinary shares of US$0.10 each
in this Company at 142p per share through his participation in the Vodafone
Group Savings-Related Share Option Scheme. Mr Horn-Smith has an interest,
excluding unexercised share options, in 123,587 ordinary shares of US$0.10
each in this Company.
