Vodafone AirTouch Plc ('the Company') 

In accordance with Section 329 of the Companies Act 1985, I have to inform you
that the Company was advised on 20 August 1999 that on 19 August 1999, Paul
Hazen, a non-executive director of the Company, exercised an option to acquire
2,461 American Depositary Receipts ('ADRs') in the Company at the exercise
price of US$19.4852 per ADR. Following the option exercise Mr Hazen
immediately transferred 1,231 ADRs to his wife.

One ADR is equivalent to ten (10) ordinary shares of US$0.10 each in the share
capital of the Company.
