In accordance with Section 329 of the Companies Act 1985, I have to inform you
that on 13 August 1999, Mr J M Horn-Smith, a director of the Company, and
those connected with him acquired 286 ordinary shares of US$0.10 each, Mr K J
Hydon, a director of the Company, acquired 501 ordinary shares of US$0.10 each
and Mr P R Bamford, also a director of the Company, acquired 3 ordinary shares
of US$0.10 each through their participation in the Company's Scrip Dividend
Scheme, for which each share was valued at 1296.8p.
