Vodafone Group Plc ('the Company')

In accordance with Section 329 of the Companies Act 1985, I have to inform you
that today Eileen Horn-Smith (wife of Julian Horn-Smith, a director of the
Company) transferred, by way of gift to Julian Horn-Smith, 129,180 ordinary
shares of US$0.10 each in the capital of the Company.

Following this transaction, Mr Horn-Smith's interest in shares in the Company
remains unchanged at 1,729,835, excluding unexercised share options and
incentive shares.
