Vodafone Group Plc ('the Company')

In accordance with Section 329 of the Companies Act 1985, I have to inform you
that on 11 March 2002 Sir Alec Broers, a non-executive director of the Company,
purchased 14,000 ordinary shares of US$0.10 each in the Company at the price of
146.5p per share. Sir Alec now has an interest in 19,024 ordinary shares in the
capital of the Company.
