Vodafone Group Plc ('the Company')


In accordance with Section 329 of the Companies Act 1985, I have to inform you
that on 5 June 2001 Mr P R Bamford, an Executive Director of the Company,
acquired 82,942 ordinary shares of US$0.10 each in the Company at the price of
179.5p per share. As a result of this purchase, Mr Bamford has an outstanding
interest, excluding unexercised share options, in 151,778 ordinary shares in
the Company.
