Vodafone Group Plc ('the Company')

In accordance with Section 329 of the Companies Act 1985, I have to inform you
that the Company has today been advised that Mrs Kathleen Gent, the wife of a
director of the Company, Christopher Charles Gent, has an interest in 19,205
ordinary shares of US$0.10 each in the capital of the Company. This
shareholding has not previously been disclosed by the Company as part of the
interest of Mr Gent which is now, excluding unexercised executive share
options, 1,787,089 ordinary shares of US$0.10 each.
