Vodafone Group Plc (the 'Company')

In accordance with Section 329 of the Companies Act 1985, I have to inform you
that on 1 September 2000 Mr Christopher Charles Gent, a director of this
Company, exercised an option to acquire 9,270 ordinary shares of US$0.10 each
in this Company at 37.2p per share through his participation in the Vodafone
Group Savings-Related Share Option Scheme. 
As a result of this transaction Mr Gent has an interest, excluding unexercised
share options, in 1,685,480 ordinary shares of US$0.10 each in the Company.
