Vodafone Group Plc ("the Company")

In accordance with Disclosure and Transparency Rule 3.1.4R(1), the Company was advised on 14 February 2012 by UBS Wealth Management that on 3 February 2012, Sir John Buchanan, a director and Deputy Chairman of the Company, acquired an interest in 9,149 ordinary shares of US$0.11³/₇ each in the Company ("Ordinary Shares") at the price of 177.3863p per share through reinvestment of dividend income.  Following this transaction, Sir John's total interest in the Company is 239,361 Ordinary Shares.
