    NOTIFICATION OF TRANSACTIONS OF DIRECTORS, PERSONS DISCHARGING MANAGERIAL
                      RESPONSIBILITY OR CONNECTED PERSONS

                        Vodafone Group Plc ('the Company')

In accordance with Section 329 of the Companies Act 1985 and Disclosure Rule
3.1.4R(1), I have to inform you that the Company has been advised that on 21
August 2006 Sir John Bond, the Chairman of Company, acquired an interest in
90,000 ordinary shares of US$0.11 3/7 each in the Company at average price of
110.05p per share.

As a result of this transaction Sir John's shareholding in the Company has
increased to 207,620 ordinary shares.
