VODAFONE ANNOUNCES COMPLETION OF ACQUISITION OF 10% ECONOMIC INTEREST IN BHARTI
                             TELE-VENTURES IN INDIA

Further to the announcement of 28 October 2005, Vodafone Group Plc ('Vodafone')
announces that the Vodafone group has today subscribed for convertible
debentures in Bharti Enterprises Private Limited representing a 4.39% indirect
economic interest in Bharti Tele-Ventures Limited ('BTVL').

The Vodafone group completed the acquisition of the 5.61% direct interest in
BTVL from Warburg Pincus LLC on 18 November 2005. Accordingly, from 18 November
2005 Vodafone proportionately consolidated its 5.61% direct stake in BTVL and
from today will proportionately consolidate its entire 10% economic interest in
BTVL.
