COMPLETION OF VODAFONE'S ACQUISITION OF A 10.0% STAKE IN JAPAN TELECOM
FROM AT&T

Vodafone Group Plc ('Vodafone') announces that it has today completed the
acquisition of AT&T's 10% stake in JAPAN TELECOM Co., Ltd. ('JAPAN TELECOM').
The consideration paid was $1.35 billion, pursuant to its previously announced
agreement with AT&T dated February 26, 2001. As a result of the acquisition
Vodafone now holds a 25% equity stake in JAPAN TELECOM.
