                      BOARD CHANGE

Vodafone  Group Plc ('Vodafone') announces that Dr  Klaus
Esser has decided to leave the Board with effect from  30
September 2000.

Dr Esser joined the Board of Vodafone on 5 June 2000 as a
deputy  chairman  and non-executive  director  and  since
then  has  been  closely involved in the  integration  of
Vodafone and Mannesmann and the successful sales  of  the
remaining non telecoms businesses of Mannesmann.

Chris Gent, Chief Executive of Vodafone said: 'We greatly
appreciate  the contribution that Klaus has made  to  the
integration process of Vodafone and Mannesmann  and  wish
him well for the future.'
