Vodafone Group Plc ('the Company')


Application has been made to the Financial Services Authority and the London
Stock Exchange for a total of 4,260,291 Ordinary shares of US$0.10 each 
('shares') to be admitted to the Official List.  It is expected that admission
will be granted on 29 March 2004 and that dealings will commence on 30 March
2004.

These shares are being reserved under a block listing and will be issued as a
result of the exercise of rollover share options (following the Company's
acquisition of Vodafone-Panafon Hellenic Telecommunications Company S.A.),
pursuant to the 1998 Panafon Share Option Scheme.

When issued, these shares will rank pari passu with the existing Ordinary
shares.
