                      Vodafone Group plc (the 'Company')

Application has been made to the Financial Services Authority and the London
Stock Exchange plc for 422,869,008 Ordinary shares of US$0.10 each ('shares')
to be admitted to the Official List. Admission of the new shares was granted
on 30 March 2001 and admission and trading will commence on 02 April 2001

These shares are being issued in connection with the Company's acquisition of
25% stake in Swisscom Mobile AG.

These shares will rank pari passu with the existing issued Ordinary shares.
