GRANT OF AWARDS TO DIRECTORS AND PERSONS DISCHARGING MANAGERIAL RESPONSIBILITY

In accordance with the DTR3.1.4 of the Financial Conduct Authority's (FCA's) Disclosure and Transparency Rules and further to the announcement made on 12 February 2016, the Company announces that Gavin Opperman, a Person Discharging Managerial Responsibility, has been granted a further 2015 demerger award as noted below under the Deferred Equity Plan.  The awards in the form of conditional awards (Rights) to acquire CYBG PLC Ordinary Shares of £0.10 each (Shares) which will vest on the third anniversary of grant subject to performance conditions.

The number of Rights awarded was based on the average middle market share price over the three days before grant, being £2.6617.
