           Acquisition of O'Connor Engineering Laboratories


The Vitec Group plc ('Vitec'), the international supplier of products, services
and solutions to the Broadcast, Entertainment and Media industries, announces
that on 6 February 2003 it purchased the business of O'Connor Engineering
Laboratories ('O'Connor') from Autocue Inc. for $2.7 million in cash. Vitec has
purchased O'Connor's operating assets and assumed certain of its liabilities,
not including borrowings. O'Connor designs and manufactures pan & tilt camera
heads principally for the film industry and is based in Costa Mesa, California.
Sales in the year to 30 April 2002 were $2.9m.



Commenting on the acquisition, Gareth Rhys Williams, Chief Executive of Vitec
said:



'This acquisition gives Vitec a foothold in camera supports for the film market
and enhances the development capability of our broadcast camera systems division
in the emerging high definition market.'
