The Company was notified today that the Trustees of the Victoria Carpets Profit
Sharing Scheme ('the Scheme') on Thursday, 29th August 2002, sold 10,222
ordinary shares of 25p each ('ordinary shares') in the Company at 137p per
share, representing approximately 0.15% of the Company's issued ordinary shares.
The Scheme is an Inland Revenue approved profit share scheme.

Following the sale, the Trustees hold on behalf of the Scheme, 347,369 ordinary
shares of 25p each in the Company, representing approximately 5.0 per cent of
the Company's issued ordinary shares.

As trustees of the Scheme, the following Directors' non-beneficial shareholdings
have each been reduced by 10,222 ordinary shares and are now as follows:
