                             Retirement of Director


Victoria P.L.C. announces the following change to its Board of Directors.


Brian Priest will be retiring as a Director of Victoria P.L.C. with effect from
the Annual General Meeting of the company on 24 July 2003.


Brian Priest, who founded the carpet yarn spinner, Westwood Yarns Limited in
Yorkshire, joined the main board of Victoria P.L.C. in 1989 when the group
acquired Westwood Yarns.


Brian will also retire as a director of Westwood Yarns Limited on the same date
but will continue to provide advice and consultancy to Westwood Yarns for a
period following his retirement.


Commenting on the change Bob Gilbert, Non-Executive Chairman, of Victoria said:

'On behalf of the team here, I would like to thank Brian for the tremendous
contribution he has made both at Westwoods and in the development of our
spinning operations in Australia.  The Board would all like to wish him and his
wife Ann a happy and enjoyable retirement.'
