                    NOTIFICATION OF DIRECTORS' SHAREHOLDINGS


The Directors of Victoria P.L.C. ('the Company') have today been notified by the
Trustees of the Victoria Carpets Profit Sharing Scheme ('the Scheme') of the
following changes in Directors' shareholdings.

On 24 June 2003, 43 Ordinary shares in the Company were sold by the Trustees at
a price of 237p each. The Trustees no longer hold any shares in the Company for
the benefit of the Scheme.

Following the transfers, the non-beneficial shareholdings of those directors of
the Company who are also trustees of the Scheme are as follows:
