                              BOARD APPOINTMENT



Cookson Group plc confirms that, as previously announced on 26 July 2001,
Barry W Perry has joined the Board as a non-executive director with effect
from 1 January 2002.

Mr Perry is Chairman and Chief Executive Officer of Engelhard Corporation and
is also a non-executive director of Arrow Electronics Inc.

Cookson Group plc confirms that there is no additional information required to
be disclosed in relation to Mr Perry pursuant to paragraphs 6.F.2 (b) to (g)
of the Listing Rules.

Following this appointment, Cookson Group plc also announces the retirement
from the Board of Mr G Parkos as a non-executive director with effect from 31
December 2001.
