VOTING RIGHTS AND CAPITAL

In conformity with the Transparency Directive, Vertu Motors PLC notifies the
market of the following:

The Company's capital consists of 90,828,254 ordinary shares with a nominal
value of 10p each, with voting rights. The Company does not hold any ordinary
shares in Treasury.

Therefore, the total number of voting rights in Vertu Motors PLC is 90,828,254.

The figure of 90,828,254 may be used by shareholders as the denominator for the
calculations by which they will determine if they are required to notify their
interest in, or a change to their interest in, Vertu Motors PLC under the FSA's
Disclosure and Transparency Rules.
