               Non-Executive Directors' Compensation in Shares


It has been agreed on 30 April 2007, that the Non-Executive Directors will
receive 60% of their compensation in the Company's Ordinary 5p shares (for the
period May 2007 - April 2008) except for Nicholas Negroponte who will receive
all compensation in shares.

Application will be made to the London Stock Exchange for the 102,803 new
Ordinary 5p Shares in the Company to be admitted to trading on AIM.


The total number of Ordinary 5p Shares post-admission will be 29,194,138
