               Issue and transfer of Directors' Shares



African Consolidated  Resources  plc, the  Zimbabwe  focused  mineral
exploration company announces that H.  S. Bottomley and R. C.  Tucker
have on  31 July  2009  each subscribed  for 1,000,000  new  ordinary
shares of 1p each in  the Company ('Shares') at  a price of 4.5p  per
share following the exercise of share options.

The Company  has  also been  advised  that on  3  August 2009  H.  S.
Bottomley transferred 1,000,000 shares to his Self Invested  Personal
Pension (SIPP) at a price of 9p per share.

Application has  been  made  for admission  of  2,000,000  Shares  to
trading on  the AIM  Market of  the London  Stock Exchange  which  is
expected to occur at 08.00 a.m. on 7 August 2009.

Following the issue  of Shares  described above the  total number  of
Shares in issue at the date  of this notice is 268,025,173 with  each
Share carrying the right to one vote.
