Director Shareholding

African Consolidated Resources plc (the "Company"), the  AIM-listed southern
African focused resource  development  company, announces the following dealing
activity in ordinary shares of 1p each in the Company ("Shares") and options
over Shares ("Options").

On 3 May 2011:
  * Mike  Kellow,  Director  of  the  Company, exercised Options over 2,500,000
    Shares at 4.5p per Option.
  * Stuart Bottomley, Director of the Company, exercised Options over 1,000,000
    Shares at 4.5p per Option.
  * Andrew Cranswick, Director of the Company, assigned Options in his name over
    1,000,000 Shares  at 4.5p per Option to an  outside assignee in return for a
    consideration  of 1.5p per Option,  having obtained prior  approval from the
    Company's board of directors to do the same.


Furthermore, also on 3 May 2011:
  * Mike Kellow sold 750,000 Shares to an outside buyer for 6.1p per Share.
  * Mike  Kellow sold  750,000 to Stuart  Bottomley's pension  fund for 6.1p per
    Share.
  * Stuart  Bottomley transferred 1,000,000 Shares  to his pension  fund for nil
    consideration.


The Company was notified of the above transactions on 3 May 2011.

Application  will be made  for the admission  of the 3,500,000 Shares subscribed
for by Mike Kellow and Stuart Bottomley to trade on the AIM market of the London
Stock Exchange, which is expected to occur at 8 a.m. on 11 May 2011.

The Directors' resultant holdings following the above transactions are as
follows:
