Appointment of non-executive director

Key biographical details

Provident Financial plc announces that it has appointed Graham Pimlott as a
non-executive director of the company with effect from today (26 June 2003). He
is currently senior non-executive director of Tesco PLC. Prior to that he worked
for Barclays PLC from 1989-1999 in a variety of roles, in particular as Director
of Group Planning, Operations and Technology.

Additional information required by the Listing Rules
Graham Pimlott is a solicitor and is currently Deputy Chairman of  Hammerson
PLC. He is also Chairman of Beachkit Limited, Edotech Limited, Graham Pimlott
Limited, Propero Limited and SpiritSoft  Limited. Within the last five years he
was also a director of Cofunds Limited and Epo.com AB. There is no other
information to be disclosed pursuant to paragraphs 6.F.2(b) - (g) and paragraph
16.4(a) of the Listing Rules.


Retirement of non-executive director

Provident Financial plc also announces that Angela Heylin will retire from the
board with effect from 30 June 2003 after completing two three-year terms as a
non-executive director. The board would like to extend its thanks to Angela
Heylin for her contribution to the development of the company during the last
six years.
