Update on Ambrose Healthcare shareholding

London, UK - ValiRx Plc (AIM: VAL), a life science company focusing on early-stage cancer therapeutics and women's health, notes the movement in the Company's share price on 20 October 2026 following the announcement by Ambrose Healthcare Ltd ("Ambrose"), a private UK specialist pharmaceutical company, regarding its acquisition of AM-Pharma for up to €161 million.

On 20 June 2025, ValiRx announced that its 54.14% owned subsidiary, ValiSeek Ltd ("ValiSeek"), a joint venture alongside Tangent Reprofiling, had entered into an intellectual property licence agreement with Ambrose in relation to VAL401. Under the agreement, ValiSeek received 576,000 ordinary shares in Ambrose and is entitled to  clinical and commercial milestone payments of up to £16 million, together with royalties. In addition, ValiSeek received 75,000 ordinary shares in Ambrose in connection with the original option agreement. These shareholdings represents approximately 5.55% of Ambrose's issued share capital.

Mark Eccleston, CEO of ValiRx commented:

"As the third largest shareholder in Ambrose, we're delighted to see the acquisition of this additional clinical stage asset with established positive safety in almost 700 patients. The asset, which has had over $250M invested into sepsis-associated kidney injury including a Phase 3 trial that ultimately gave disappointing results, now has demonstrated dose-dependent effect on disease biomarkers in a Phase 1b study in adult HPP patients and has received Orphan Drug Designation for HPP from both the FDA and the EMA, with an agreed development plan built around a single pivotal study giving the programme a new lease of life with an established early clinical package. The acquisition also gives Ambrose an EU regulatory, quality and scientific infrastructure as a strong base for their pipeline which includes ValiSeek's VAL401 asset. Given the previous big pharma interest in the asset and accelerated clinical pathway via the orphan disease route we think this could be a fast tracked route to a significant value inflection for Ambrose and thus ValiRx through its shareholding."

The Directors of the Company take responsibility for this announcement.
