On 2nd December, 2003 Chiddingfold Investments Limited announced the terms of a
mandatory offer for the Company.

Following the admission of 30,000,000 Ordinary Shares of 1p each pursuant to the
Placing and Debt Conversion (announced on 2nd December, 2003), Azure, confirms
under Rule 2.10 of the City Code on Takeovers and Mergers that;

   •the Company has 31,242,250 Ordinary Shares of 1p each in issue and
    admitted to the Alternative Investment Market under the ISIN Code 
    GB0033692368; and

   •the Company has granted options over 177,728 ordinary shares of 1p each
    which are outstanding.
