Issue of Shares

 

Valereum Plc, the Gibraltar technology group, is pleased to announce that it will be issuing a total of 3,690,575 new ordinary shares of 0.1 pence each (the "Ordinary Shares") at a price of 4.3289 pence per share which equates to £159,760 (US$200,000), following the conversion notice received by the Company under the terms of the funding facility announced on 31st January 2022. This brings the outstanding balance down to US$1m.

 

Application will be made for the listing of the new Ordinary Shares, which will rank pari passu with the existing Ordinary Shares in issue, to be admitted to trading on the AQSE Growth Market ("Admission"). Dealings are expected to commence on or about 23rd May 2023 and the issue is subject only to Admission.

 

Following the issuance of shares, the Company's total issued and voting share capital upon Admission will consist of 93,223,699 Ordinary Shares. This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, securities of the Company.
