Transaction in Own Shares/Holding in Company

Utilico Emerging Markets Limited (the "Company") announces that it purchased for cancellation on 23 July 2010 8,058,634 warrants and 1,000,846 S shares both at 35p per warrant/S Share.

Following these purchases the Company's issued share capital consists of 201,811,934 ordinary shares with voting rights, 4,885,202 S Shares and 18,496,620 warrants

The above figure (201,811,934) may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interests in, the Company under the FSA's Disclosure and Transparency Rules.

The Company has also been notified that following a disposal on 23 July 2010 of S Shares and Warrants by Utilico Limited, it holds the following securities in the Company:

Ordinary Shares:        51,783,424

S Shares:                    Nil

Warrants:                    7,475,879
