Directors' Shareholdings

Utilico Emerging Markets Limited (the "Company") announces that it was notified on 2 October 2012 of the following changes to Directors' shareholdings following purchases of ordinary shares of 10p each in the Company on 2 October 2012 at 161.0p per share. These purchases were made to satisfy the Directors' fees for the quarter ended 30 September 2012.

Mr Zagoreos purchased 5,871 shares; Mr Madeiros purchased 5,407 shares; and Mr Muh and Mr O'Connor each purchased 4,248 shares. The beneficial interests of the Directors in the ordinary shares of the Company as at 2 October 2012 are:
