Directors' Shareholdings

Utilico Emerging Markets Limited (the "Company") announces that it was notified on 4 January 2012 of the following changes to Directors' shareholdings following purchases of ordinary shares of 10p each in the Company on 3 January 2012 at 150.0p per share. These purchases were made to satisfy the Directors' fees for the quarter ended 31 December 2011.

Mr Zagoreos purchased 6,301 shares; Mr Madeiros purchased 5,804 shares; and, Mr Jillings, Mr Muh and Mr O'Connor each purchased 4,560 shares. The beneficial interests of the Directors in the ordinary shares of the Company as at 4 January 2012 are:
