We have received a notification dated 22 May 2001, from the Prudential plc and
its subsidiary companies that their holding in United Utilities PLC had fallen
below 3% and was therefore no longer notifiable in accordance with s198 - 202
of the Companies Act 1985 (as amended).

United Utilities' ordinary shares trade on the London Stock Exchange and its
ADRs, each equal to two ordinary shares, trade on the New York Stock Exchange
under the Trading Symbol 'UU'.
