Result of EGM

UK Commercial Property Trust Limited (the 'Company') refers to its announcement on 15 June 2009 in relation to the convening of an extraordinary general meeting and is pleased to announce that all of the resolutions proposed at the extraordinary general meeting of the Company held on 10 July were passed by shareholders. The first resolution was that the continuation of the Company be approved and was passed with 727,033,375 votes (99.97 per cent) for, 232,755 votes (0.03 per cent) against, and 16,500 votes at the discretion of the Chairman (all of which were voted in favour). The second resolution was that the Company's policy on continuation votes be amended as set out in the circular to shareholders dated 15 June 2009 (the 'Circular') and was passed with 727,028,475 votes in favour of the resolution, none against and 21,400 votes at the discretion of the Chairman (all of which were voted in favour); 232,755 votes abstained. The third resolution was that the Company's gearing policy be amended as set out in the Circular and was passed with 726,364,087 votes (99.95 per cent) for, 363,000 votes (0.05 per cent) against and 21,400 votes were at the discretion of the Chairman (all of which were voted in favour); 278,786 votes abstained. Votes cast by shareholders not connected with Pearl Group Limited as a percentage of those shares voting were 99.86 per cent in favour of the first resolution, 99.86 per cent in favour of the second resolution and 99.61 per cent in favour of the third resolution.
