RESULT OF EXTRAORDINARY GENERAL MEETING TO CONSIDER THE CONTINUATION OF THE
COMPANY


The Directors announce that, at the Extraordinary General Meeting held today,
the ordinary resolution to approve the continuation of the Company was passed.

The Directors are pleased to confirm that the proxy votes received were 99.76
per cent. in favour of the continuation resolution, 0.0007 per cent. against the
resolution and 0.24 per cent. abstaining. The Board is also pleased to note
that, of the shares not controlled by Resolution plc, the Company's largest
shareholder, 98.02 per cent. were voted in favour of the resolution, 0.006 per
cent. voted against and 1.97 per cent. abstained.
