Publication of supplementary prospectus

On 20 February 2012 Utilico Finance, a wholly owned subsidiary of Utilico Investments, announced its intention to seek placing commitments for up to 10 million new 2014 ZDP Shares and up to 10 million new 2016 ZDP Shares pursuant to the placing described in the prospectus published by Utilico Finance on 2 December 2011.

Utilico Finance has today published a supplementary prospectus approved by the UK Listing Authority and is supplemental to, and should be read in conjunction with, the prospectus published by the Company on 2 December 2011.

The publication of the supplementary prospectus is a regulatory requirement under the Prospectus Rules following the publication of significant new information, including, inter alia, the publication of the unaudited half year reports by Utilico, Utilico Finance and Resolute for the six months ended 31 December 2011. Following completion of the Rollover Offer and the issue of 2018 ZDP Shares under the Placing, there have also been changes to the illustrative statistics in the Prospectus, and the Assumptions on which they are based, therefore these changes have been highlighted in the supplementary prospectus.

A copy of the supplementary prospectus is being submitted to the National Storage Mechanism and will shortly be available for inspection at: www.Hemscott.com/nsm.do and on the Company's website: www.utilico.bm

(1) The times and dates set out in the Expected Timetable above and mentioned throughout this announcement may be adjusted by the Company, in which event details of the new times and dates will be notified, as required, to the UK Listing Authority and the London Stock Exchange and, where appropriate, to Shareholders.

(2) All references to time in this announcement are to London time.

(3) If placing commitments are not received in respect of all the 2014 ZDP Shares and 2016 ZDP Shares available under the Issue by 2 March 2012, the Company may seek to place the remaining shares pursuant to a subsequent closing of the Placing prior to 1 December 2012.
