BOARD CHANGES

As indicated in the Company's annual report and accounts, UIL Limited ("UIL" or the "Company") announces that Dr Roger Urwin and Mr Graham Cole have both retired from the boards of UIL and UIL Finance Limited ("UIL Finance") at the respective annual general meetings held earlier today, 16 November 2015. 

Mr Peter Burrows has been elected as Chairman of both UIL and UIL Finance with immediate effect.

UIL and UIL Finance are pleased to announce that Alison Hill, Christopher Samuel and David Shillson have all been appointed as independent Non-Executive Directors of both companies with effect from 16 November 2015. 

Ms Hill is an executive director and chief executive officer of The Argus Group in Bermuda, which provides insurance, retirement and financial services. Ms Hill has over 25 years' experience in global corporations in the financial services sector. Ms Hill is a non-executive director of KeyTech Limited, deputy chairman of Logic Limited and a board trustee of Bermuda High School for Girls and a member of other committees in Bermuda. Ms Hill is a Fellow of the Chartered Institute of Management Accountants.

Mr Samuel was chief executive officer of Ignis Asset Management until mid-2014, when it was taken over by Standard Life and has worked in the investment sector for most of his career. He is a non-executive director of Alliance Trust PLC, JP Morgan Japanese Investment Trust plc, Bio-Bean Limited, Scrubbys Foods Limited and The London Community Foundation, where he is also a member of the executive committee and chair of the finance and investment committee. Mr Samuel is a chartered accountant.

Mr Shillson is an experienced corporate and commercial lawyer and a senior partner of Kensington Swan, a New Zealand law firm.  He has many years of experience acting for a mix of non-government and central and local government clients, particularly in acquisitions and investment structuring; advising on transactional and governance matters across the utilities (ports, airports), technology, energy, transport (rail and roads) and finance sectors. Mr Shillson is a member of the New Zealand Law Society.

Other than the directorship information disclosed above, there is no other information to be disclosed in respect of LR 9.6.13 of the FCA Listing Rules for Ms Hill, Mr Samuel or Mr Shillson.
