               Proposed Demerger of Glass Container Businesses

TT Group announced in March 2000 its proposed disposal of non core activities.
Since that time the Group has disposed of two businesses. The Group has
reviewed a wide range of alternatives for its glass container businesses and
believes a demerger to be the most suitable solution.


Consequently TT Group announces that it is pursuing a demerger of its glass
container packaging businesses, which will leave the Group focused on its
electronic and electrical activities.


The Board of TT Group envisages a completion date for the demerger prior to
the end of the second quarter of this year.


John Newman, Executive Chairman of TT Group, commented:


' A demerger of the glass container businesses will enable us to concentrate
on our electronic and electrical activities where we believe there are
significant growth prospects.'
