DEALINGS BY DIRECTORS

TT Group PLC (TT Group) has been notified that as a result of Dr A D Shipp, J W
Newman, a director of TT Group and D E A Crowe, another director, the executors
of the late N D Shipp (deceased), distributing assets of the estate of N D Shipp
to the beneficiaries entitled thereto, Dr A D Shipp and D E A Crowe ceased on 13
January 2000, to have an interest in 10,182,437 ordinary shares of TT Group.

Following such distribution D E A Crowe continues to have a beneficial interest
in 48,454 ordinary shares and a non-beneficial interest in 7,950 ordinary shares
of TT Group.
