Board Changes

 

TT Electronics, an innovative global electronics company supplying world leading manufacturers, today announces that Sean Watson, who has served as Chairman since May 2010, has decided to retire from the Board following the Company's Annual General Meeting on 12 May 2015.  He will be succeeded by Neil Carson, the former Chief Executive of Johnson Matthey Plc, who will join the Board as Chairman with effect from the close of the 2015 Annual General Meeting. 

Commenting on the announcement, the Company's Senior Independent Director, John Shakeshaft, said: "The Board wishes to express its warmest thanks and appreciation to Sean for his seven and a half years of service as a Director of the Company, leaving it now well positioned for long term growth.  The Board welcomes Neil Carson, a strong industrial leader, to TT Electronics and looks forward to his guidance and direction in its future development".

 

Sean Watson said: "After seven years with TT Electronics, with five years as Chairman, during which time the Company has undergone significant change from a conglomerate to a focused electronics business, and with a new executive team in place, now is the right time to hand over the chairmanship.  I am delighted that Neil Carson will be taking over as Chairman.  With his considerable and relevant industrial and boardroom experience, he will be invaluable as the Company embarks on the next stage of its development".

 

Neil Carson said: "I am delighted to be joining TT Electronics at this exciting stage of its development.  I look forward to working with the Chief Executive Officer, Richard Tyson, the rest of the Board and the wider management team".

The Company confirms that there is no further information to be disclosed under the requirements of Listing Rule 9.6.13R in relation to this appointment, except as stated in the Notes below.

This announcement is being made at the time that the Company's Annual Report for the year ended 31 December 2014, together with the associated documentation relating to the 2015 Annual General Meeting (including the Notice of Meeting), have gone to print.  Accordingly, it is the Company's intention that the resolution to re-elect Sean Watson as a Director of the Company (proposed Resolution 6) will not be put forward for consideration at the 2015 Annual General Meeting.  The resolution to elect Neil Carson as a Director of the Company will be considered at the Company's AGM in 2016.

Notes:

 

Neil Carson has been a non-executive director of Amec Foster Wheeler plc since August 2010 and is currently the senior independent director of Paypoint plc, having joined the board in July 2014. Previously Mr Carson was the Chief Executive of Johnson Matthey Plc, the speciality chemical company, a position he held for ten years from 2004Over the ten years, sales excluding precious metals grew from £1.2 billion to £2.7 billion and the group's market capitalisation increased from under £2 billion to almost £7 billion.  He joined Johnson Matthey in 1980 after completing an engineering degree and has held a number of senior management positions in both the United Kingdom and United States.  Mr Carson is joint Chairman, alongside the Minister of State for Business and Enterprise, of the Chemistry Growth Partnership, which is working with government to stimulate growth in the industry in the United Kingdom.  He was previously a founder member of the Prince of Wales' Corporate Leaders Group on Climate Change.
