DEALINGS BY DIRECTORS

TT electronics plc ('TT electronics') has been notified pursuant to the 
Companies Act 1985 that on 3 April 2002, TT electronics granted options under 
the 1994 Executive Share Option Scheme and the 1996 Unapproved Executive Share 
Option Scheme ('the Schemes') to the undermentioned executive directors of TT 
electronics to subscribe for the following number of shares of 25p each of TT 
electronics at 165p per share.

Such options are exercisable subject to the rules of the Schemes from 3 April
